Definitions

Within these Terms and Conditions, the "Provider" refers to Bogdan Vasilescu, natural person, operating under the commercial name Site Modern, the "Client" refers to the natural or legal person who purchases our services, and the "Services" represent all activities related to the creation, development, and maintenance of websites and online applications.

Contract Object

The Provider undertakes to provide the Client with web design, web development, SEO optimization, maintenance, and hosting services according to the specifications agreed upon in the civil service contract accepted by the Client. Each project is accompanied by a technical specifications document (brief) that details the requirements and deliverables.

Provider Rights and Obligations

• To deliver the project according to the agreed specifications and within the established timeline.
• To ensure the confidentiality of information provided by the Client.
• To provide technical support during the warranty period (12 months from delivery).
• To inform the Client of any delay or necessary modification.
• To use modern, secure, and scalable technologies.

Client Rights and Obligations

• To provide all necessary materials (texts, images, logo) within the established timeline.
• To provide feedback within a maximum of 5 business days from receiving materials for review.
• To make payments according to the schedule established in the civil service contract.
• To respect the Provider's intellectual property rights.
• Not to use the Services for illegal purposes or contrary to good morals.

Payments

Payment is made based on the civil service contract concluded between the parties. The standard payment structure is: 50% advance upon contract signing and 50% upon project delivery. For high-value projects, a customized payment schedule can be established. Late payment incurs penalties of 0.1% per day of the outstanding amount.

Intellectual Property

The source code, design, and all materials created by the Provider within the project become the Client's property after full payment. The Provider reserves the right to include the project in their portfolio, except in cases where the Client explicitly requests otherwise in writing.

Warranty and Maintenance

The Provider offers a 12-month warranty from project delivery, during which any technical error resulting from the development process is fixed free of charge. Maintenance after the warranty period is contracted separately, according to available packages.

Limitation of Liability

The Provider is not responsible for losses caused by the Client's improper use of the website, for the unavailability of hosting services provided by third parties, or for damages caused by cyber attacks. The Provider's maximum liability cannot exceed the total value of the contract.

Contract Termination

Either party may terminate the contract with 30 days' notice. In case of termination by the Client, amounts already paid are non-refundable, and work completed up to the termination date remains the Provider's property. In case of termination by the Provider, they will deliver to the Client all materials created up to that date.

Final Provisions

These Terms and Conditions are governed by Romanian law. Any dispute will be resolved amicably, and in case of failure, by the competent courts in Romania. The Provider reserves the right to modify these terms, with prior notification of active Clients.
